These Terms and Conditions ("Terms") govern your use of Nouviva, a food diary and nutrition tracking application ("Service") operated by Ideava Ltd, a company registered in England and Wales (Company Number: 16905030) with registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom ("we", "us", "our").
By registering for or using Nouviva, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. Definitions
- "Account" means your registered account on the Service
- "Content" means any data, text, images, or other materials you submit to the Service
- "Free Plan" means the basic service tier provided at no charge
- "Premium Plan" means any paid subscription tier, including Premium and Pro subscriptions
- "Personal Data" has the meaning given in UK GDPR
- "Fair Usage" means reasonable use of the Service as defined in Section 8
- "AI Approximation" means nutritional estimates generated by artificial intelligence which may contain errors or inaccuracies
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old to create an account and use Nouviva. By using the Service, you confirm that you meet this age requirement and have the legal capacity to enter into these Terms.
3.2 Parental Supervision for Children
CRITICAL NOTICE FOR PARENTS:
The Service includes features that allow parents to track nutrition for children. If you choose to use the Service to track a child's nutrition or if you allow a child under 18 to use your account:
- You must provide direct adult supervision at all times
- You are solely responsible for monitoring the child's use of the Service
- You must review all AI-generated recommendations and recipes before following them with or for a child
- You must verify all nutritional information and allergen warnings
- Children must NEVER use the Service unsupervised or without parental guidance
- The Service is NOT designed for independent use by children
By using child tracking features, you confirm that:
- You are the parent or legal guardian
- You will supervise all use related to the child
- You understand that AI-generated nutrition information is approximate and not tailored specifically for children's unique nutritional needs
- You will consult healthcare professionals for child nutrition advice
4. Health and Nutrition Disclaimer
IMPORTANT: PLEASE READ CAREFULLY
4.1 AI-Generated Approximations
The nutrition information provided by Nouviva is generated by artificial intelligence and represents APPROXIMATIONS, not precise measurements.
You acknowledge and expressly agree that:
- All nutrition data, scores, and calorie estimates are AI-GENERATED APPROXIMATIONS based on general food databases and descriptions
- These approximations may be significantly inaccurate and should never be relied upon for medical, dietary, or health-critical decisions
- Actual nutritional content of food varies widely based on:
- Preparation methods
- Portion sizes
- Brand differences
- Ingredient variations
- Cooking techniques
- Freshness and storage
- The AI cannot accurately measure portions from descriptions or photos alone
- A food described as "pasta" could range from 200 to 800 calories depending on actual portion size, which the AI cannot determine
- You are responsible for verifying all nutritional information independently if accuracy is important to your health
4.2 Not Medical, Nutritional, or Dietary Advice
The Service and all information provided are:
- Advisory only and for general informational and entertainment purposes
- Not a substitute for professional medical, nutritional, or dietary advice from qualified healthcare professionals
- Not intended to diagnose, treat, cure, or prevent any disease or health condition
- Not reviewed or verified by registered dietitians, nutritionists, or medical professionals
- Not tailored to your individual health needs, medical conditions, or circumstances
4.3 Medical Consultation Required
You MUST consult qualified healthcare professionals before:
- Making any dietary changes based on information from the Service
- Using the Service if you are pregnant, nursing, or planning pregnancy
- Using the Service if you have any medical conditions, including but not limited to:
- Diabetes
- Heart disease
- Kidney disease
- Liver disease
- Eating disorders
- Food allergies or intolerances
- Metabolic disorders
- Any chronic health condition
- Using the Service if you take any medications that may interact with dietary changes
- Using the Service for children, especially those with special nutritional needs
- Following any weight loss, weight gain, or dietary restriction recommendations
4.4 Allergen Responsibility
CRITICAL ALLERGEN WARNING:
- You are SOLELY AND ENTIRELY responsible for checking all ingredients for allergens
- The AI-generated recipes and food suggestions MAY CONTAIN ALLERGENS that are not identified or flagged
- The Service does NOT guarantee allergen-free recipes even if you specify allergens in your profile
- Allergen information is approximate and may be incomplete or incorrect
- Cross-contamination risks are not assessed by the AI
- Ingredients may change without notice in commercial products
- You MUST read all product labels and ingredient lists yourself before consuming any food
- Hidden allergens may be present in processed foods, sauces, condiments, and prepared ingredients
- If you have food allergies, you MUST verify every single ingredient independently
If you have severe allergies:
- Consult an allergist before using the Service
- Do not rely on AI-generated allergen warnings
- Manually verify every ingredient
- Be aware of cross-contamination risks when preparing foods
4.5 Recipe Safety and Suitability
Recipes provided by the Service:
- Are generated by AI and have not been tested or verified
- May contain errors in ingredients, quantities, or cooking instructions
- May not be suitable for all dietary needs or restrictions
- May pose food safety risks if not prepared properly
- Require your independent judgment and verification before use
- Should be reviewed by a qualified professional for children, elderly, or individuals with health conditions
You are responsible for:
- Verifying recipe safety and suitability
- Following proper food safety practices
- Ensuring adequate cooking times and temperatures
- Checking for ingredient interactions or contraindications
- Adapting recipes to your specific needs and abilities
4.6 No Liability for Health Consequences
We are NOT RESPONSIBLE for:
- Any adverse health effects from following nutrition suggestions or recommendations
- Allergic reactions or food intolerances from recipes or suggested foods
- Nutritional deficiencies or excesses from following AI recommendations
- Weight changes (gain or loss) from following the Service's suggestions
- Any health complications arising from dietary changes
- Interactions between suggested foods and medications
- Worsening of existing health conditions
- Development of new health conditions
- Any injuries or illness related to food preparation or consumption
YOU ASSUME ALL RISKS associated with:
- Using AI-generated nutritional information
- Following dietary recommendations
- Preparing and consuming suggested recipes
- Making any changes to your diet based on the Service
4.7 Children's Nutrition
Additional warnings for tracking children's nutrition:
- Children have unique and evolving nutritional needs
- AI approximations are NOT designed for children's specific requirements
- Growth, development, and activity levels vary significantly among children
- You MUST consult a pediatrician or registered pediatric dietitian before making dietary changes for children
- Nutritional deficiencies in children can have serious long-term consequences
- The Service does not account for age-specific nutritional requirements
- Never restrict a child's diet based solely on AI-generated recommendations
4.8 Eating Disorders Warning
If you have a history of disordered eating or eating disorders:
- The Service may not be appropriate for you
- Tracking calories and nutrition may trigger unhealthy behaviors
- Consult a mental health professional and eating disorder specialist before use
- We are not responsible for any worsening of eating disorder symptoms
- Seek immediate professional help if you experience concerning thoughts or behaviors
4.9 Emergency Situations
The Service is NOT for emergencies.
If you experience:
- Severe allergic reactions
- Food poisoning symptoms
- Chest pain or difficulty breathing
- Severe abdominal pain
- Any medical emergency
Call emergency services immediately (999 in UK, 911 in US)
Do not rely on the Service for emergency medical advice.
5. Account Registration and Security
5.1 Registration
You must provide accurate and complete information when registering. You agree to update your information promptly if it changes.
5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring children do not have unsupervised access to your account
5.3 Account Types
We offer the following subscription tiers:
- Free Plan: Basic service tier at no charge
- Premium Plan: Paid subscription with enhanced features
- Pro Plan: Paid subscription with advanced features
Features and limitations for each tier are described on our website. References to "Premium Plan" or "Premium subscription" in these Terms apply to both Premium and Pro paid tiers.
6. Subscription Terms and Payment
6.1 Premium Subscriptions
Premium Plans are billed on a recurring basis (monthly or annually) depending on your selected plan.
6.2 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method for the renewal amount.
6.3 Pricing
- Prices are displayed in GBP and include VAT where applicable
- We reserve the right to change prices with 30 days' notice to active subscribers
- Price changes do not affect existing subscriptions until renewal
6.4 Payment Methods
We accept major credit/debit cards and other payment methods as displayed during checkout. Payment processing is handled by third-party payment providers.
6.5 Failed Payments
If a payment fails:
- We will attempt to process payment up to 3 times
- Your access to Premium features may be suspended
- Your account may be downgraded to Free Plan after 14 days
6.6 Refunds
- No refunds are provided for partial billing periods
- You may cancel at any time and retain access until the end of your current billing period
- No refunds are issued for service outages or downtime (see Section 7)
- Refunds may be provided at our sole discretion for exceptional circumstances
6.7 VAT
Prices include UK VAT at the applicable rate. VAT registered businesses may provide their VAT number for applicable exemptions.
7. Service Availability and Uptime
7.1 Reasonable Efforts
We will make reasonable efforts to ensure the Service is available, but we do not guarantee uninterrupted or error-free service.
7.2 Bootstrapped Operation
Important Notice: Nouviva is operated by a bootstrapped founder with limited resources. The Service is maintained alongside other commitments, which means:
- Support responses may take 24-72 hours
- Maintenance windows may occur with limited notice
- Outages may take longer to resolve than enterprise services
- Features may be added or updated on a best-effort basis
7.3 No Service Credits or Refunds for Downtime
You acknowledge and agree that:
- No refunds, credits, or compensation will be provided for service outages, downtime, or unavailability
- We do not provide Service Level Agreements (SLAs) or uptime guarantees
- Scheduled maintenance may be performed with reasonable notice where possible
- Emergency maintenance may occur without notice
7.4 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue any part of the Service at any time
- Impose limits on certain features
- Change API limits or usage quotas with reasonable notice
8. Fair Usage Policy
8.1 Usage Limits
Use of the Service is subject to fair usage limits to ensure quality service for all users. Current limits include:
- Maximum diary entries per day (varies by plan)
- AI analysis requests per day (varies by plan)
- API rate limits
- Storage limits
8.2 Tracking Usage
You can monitor your usage through your account dashboard under "Usage & Subscription".
8.3 Exceeding Limits
If you consistently exceed fair usage limits, we may:
- Temporarily throttle your requests
- Contact you about upgrading your plan
- Temporarily suspend access to certain features
- In cases where automated guardrails are triggered (e.g., excessive API usage), immediately suspend access and prompt you to purchase additional credits
- In extreme cases of abuse, suspend your account without notice
Automated guardrails: The Service includes automated systems that monitor usage and may require you to purchase additional credits or upgrade your plan before continuing. This is not considered account suspension but rather a feature limitation based on your plan tier.
8.4 Prohibited Usage
You must not:
- Use automated scripts or bots to scrape or abuse the Service
- Attempt to reverse engineer or decompile the Service
- Share your account credentials with multiple users
- Use the Service for any illegal purpose
- Attempt to breach security measures
- Overload our systems with excessive requests
- Use the Service to generate content for resale or commercial purposes without permission
9. Cancellation and Termination
9.1 Your Right to Cancel
You may cancel your Premium subscription at any time through your account settings. Upon cancellation:
- You will retain Premium access until the end of your current billing period
- No refund will be issued for the remaining time in your billing period
- Your account will automatically convert to Free Plan at the end of the billing period
- Your data will be retained according to our Privacy Policy
9.2 Free Plan Accounts
Free Plan accounts remain active unless you delete your account or we terminate for violations of these Terms.
9.3 Our Right to Terminate
We may suspend or terminate your account if:
- You violate these Terms
- You engage in fraudulent activity
- Your payment method fails repeatedly
- Your use threatens the security or performance of the Service
- Required by law
- We receive reports of harmful or illegal use
- You misuse child tracking features
9.4 Effect of Termination
Upon termination:
- Your access to the Service will cease immediately
- We may delete your data after a reasonable retention period
- You remain responsible for all charges incurred before termination
- Provisions of these Terms that should survive termination will remain in effect
10. Intellectual Property
10.1 Your Content
You retain ownership of all Content you submit to the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your Content solely to provide the Service.
10.2 Our Intellectual Property
The Service, including all software, designs, text, graphics, and trademarks, is owned by Ideava Ltd and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.
10.3 AI-Generated Content
AI-generated recipes, images, and recommendations created through your use of the Service are provided to you for personal use. You may not:
- Resell or redistribute AI-generated content commercially
- Use AI-generated recipes in published cookbooks or commercial products without proper attribution and permission
- Claim AI-generated content as your own original creation for commercial purposes
11. AI and Data Processing
11.1 AI Service Providers
The Service uses artificial intelligence from OpenAI (GPT models for nutrition analysis and DALL-E for recipe images). Your food diary data is sent to OpenAI's API for processing.
11.2 Data Sharing Preferences
You can control whether your anonymized data may be used to improve the Service in your profile settings. However, you cannot opt-out of OpenAI API processing as it is essential to provide the Service.
11.3 AI Limitations
You acknowledge that AI-generated content:
- May contain errors or inaccuracies
- Is not manually verified by nutritionists or healthcare professionals
- Should not be relied upon for medical or health-critical decisions
- May occasionally generate inappropriate or nonsensical outputs
- Cannot accurately measure portions or verify ingredient accuracy
We do not guarantee:
- Accuracy of AI-generated nutrition information
- Appropriateness of AI-generated recipes
- Safety or suitability of AI recommendations
- Allergen detection or flagging
- Portion size accuracy
11.4 OpenAI API Processing (Required for Service)
Important distinction: There are two separate types of data processing:
1. OpenAI API Processing (REQUIRED - Cannot opt-out):
- Your food diary data is sent to OpenAI's API to generate nutrition scores and recommendations
- This processing is essential to provide the Service and cannot be disabled
- OpenAI does NOT use API data to train their models (per OpenAI's API Data Usage Policy)
- OpenAI retains API data for 30 days for abuse monitoring, then deletes it
- This is different from ChatGPT's web interface (which does use conversations for training)
- By using the Service, you consent to this necessary processing
2. Nouviva's Use of Anonymized Data (OPTIONAL - Can opt-in/out):
- Separately, YOU can choose whether Nouviva (not OpenAI) may use your anonymized data to improve the Service
- This is controlled in your profile (Section 11.2 above)
- This has nothing to do with OpenAI - it's about Nouviva's own use of anonymized data
You cannot opt-out of OpenAI processing because it's fundamental to how the Service works. If you're not comfortable with OpenAI processing your food diary data, you should not use the Service.
12. Affiliate Links and Advertising
12.1 Affiliate Disclosure
The Service may include affiliate links to third-party products or services, including grocery retailer links in shopping lists. When you click these links and make a purchase, we may earn a commission at no additional cost to you.
12.2 No Endorsement
Affiliate links do not constitute endorsement of products or services. You should conduct your own research before purchasing, especially regarding:
- Allergen information
- Nutritional content
- Product suitability for your dietary needs
- Product safety and quality
12.3 Third-Party Terms
Purchases through affiliate links are subject to the third party's terms and conditions, not ours. We are not responsible for product quality, safety, or accuracy of product information.
13. Third-Party Services
13.1 Service Dependencies
The Service relies on third-party providers including:
- Cloud hosting (Railway)
- AI services (OpenAI for GPT and DALL-E)
- Payment processing (Stripe)
- Image storage (Cloudflare R2)
- Email delivery (Resend)
- Analytics services (optional)
- Grocery retailers (for affiliate product links)
13.2 Third-Party Terms
Your use of the Service may be subject to third-party terms and conditions. We are not responsible for third-party services or their failures.
13.3 Service Changes
Third-party services may change, which could affect Service features. We will make reasonable efforts to maintain functionality.

- Accuracy of AI-generated nutrition information
- Suitability of recipes or dietary recommendations
- Allergen detection or safety
- Health outcomes from using the Service
- Completeness or reliability of data
15.2 Liability Cap
To the maximum extent permitted by law, our total liability to you for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim (or £100, whichever is greater).
15.3 Excluded Damages
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including:

- Loss of data (beyond our backup obligations)
- Loss of goodwill or reputation

Nothing in these Terms excludes or limits our liability for:

- Any liability that cannot be excluded or limited under English law

Important: Given the health-related nature of the Service, you specifically acknowledge:
- We are not liable for any adverse health effects from following nutrition suggestions or recipes
- You are responsible for consulting healthcare professionals before dietary changes
- You are responsible for verifying all allergen information independently
- You are responsible for checking ingredients and food safety
- You assume all risks associated with dietary changes and food preparation
- YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK
16. Indemnification
You agree to indemnify, defend, and hold harmless Ideava Ltd, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your Content
- Any health consequences from following AI-generated recommendations
- Any allergic reactions or food-related incidents
- Your supervision or lack of supervision of children using the Service
- Any use of recipes or dietary suggestions
17. Changes to Terms
17.1 Right to Modify
We may modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date
- Notify you via email or in-app notification
- Provide at least 30 days' notice before changes take effect
17.2 Acceptance
Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may cancel your subscription.

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

If you are a consumer, nothing in these Terms affects your statutory rights under UK consumer protection law.
19. General Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ideava Ltd regarding the Service.
19.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
19.3 No Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
19.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations to any party without restriction.
19.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
